By accessing or using the Ayiha Labs website (ayihalabs.com) and our services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.
Ayiha Labs provides software development, design, AI integration, cloud infrastructure, consulting, and training services. All projects are governed by individual agreements or Statements of Work that detail specific scope, timelines, deliverables, and pricing.
Unless explicitly stated otherwise in a project agreement, upon full payment, clients receive full ownership of custom code and deliverables created specifically for their project. Ayiha Labs retains ownership of proprietary tools, frameworks, and internal libraries used in the development process. Pre-existing intellectual property and third-party licenses remain with their respective owners.
Payment terms are defined in individual project agreements. Generally, projects require a deposit before work begins, with milestone-based payments throughout the project lifecycle. Late payments may result in suspension of work. All prices are exclusive of applicable taxes unless stated otherwise.
Ayiha Labs strives to deliver high-quality work. We provide a 30-day warranty period after project delivery for bug fixes related to agreed-upon specifications. Our liability is limited to the total amount paid for the specific project in question. We are not liable for indirect, incidental, or consequential damages.
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of a project. This includes business strategies, technical specifications, user data, and financial information. This obligation survives the termination of any agreement.
Our AI concierge, EmberMind, provides general guidance about our services and helps scope projects. EmberMind's suggestions are informational and do not constitute binding offers, proposals, or contractual commitments. Final project terms are always confirmed by human team members.
Either party may terminate a project agreement with 14 days written notice. In the event of termination, the client is responsible for payment of all work completed up to the termination date. Any materials, code, or deliverables produced will be handed over upon settlement of outstanding invoices.
These Terms of Service are governed by the laws of the Republic of Benin. Any disputes arising from these terms or from projects shall be resolved first through good-faith negotiation, and if necessary, through the appropriate courts in Cotonou, Benin.
Ayiha Labs reserves the right to update these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the updated terms.
